Terms of Service

1. Definitions

"SJ iTech" means SJ iTech Pty Ltd (ABN 58 679 792 208), a company registered in New South Wales, Australia.

"Client" means the person or entity engaging SJ iTech for services.

"Services" means SEO, local SEO, technical SEO, reputation management, voice AI, automation, marketing, website development, strategy, and related consulting services.

2. Service description

SJ iTech provides digital marketing and automation services designed to improve online visibility, patient acquisition, and operational efficiency for Australian medical and dental practices.

All services are delivered remotely unless otherwise agreed in writing. Specific deliverables, timelines, and KPIs are defined in a separate Statement of Work (SOW) or proposal accepted by both parties.

3. Payment terms

• ✓All fees are quoted in Australian Dollars (AUD) and exclude GST unless stated otherwise.
• ✓Monthly retainers are billed in advance on the first business day of each month.
• ✓One-time project fees are invoiced according to the milestone schedule in the SOW.
• ✓Payment is due within 7 days of the invoice date.
• ✓Late payments may incur a fee of 1.5% per month on the outstanding balance.

4. 90-day ranking improvement guarantee

SJ iTech offers a 90-day ranking improvement guarantee on eligible SEO engagements. If measurable ranking progress is not achieved within 90 days from the campaign start date, the Client will not be charged for month four.

This guarantee applies only where:

• ✓The Client has provided all required access and assets within 14 days of onboarding.
• ✓The Client has not made unauthorised changes to the website that materially impact SEO performance.
• ✓The engagement is on a qualifying tier (Starter, Growth, or Scale) with a minimum 3-month commitment.

5. Minimum commitment and cancellation

All ongoing service agreements require a minimum commitment of 3 months. This reflects the time required for SEO and marketing initiatives to produce measurable results.

Either party may terminate the agreement with 30 days' written notice after the minimum commitment period. No refunds are provided for partial months.

SJ iTech reserves the right to terminate immediately if the Client breaches these terms, engages in unlawful activity, or fails to pay invoices within 14 days of the due date.

6. Intellectual property

All materials, reports, code, and creative assets produced by SJ iTech specifically for the Client become the Client's property upon full payment, except for:

• ✓Proprietary frameworks, methodologies, and internal tools developed by SJ iTech
• ✓Third-party software, plugins, or licensed assets subject to their own terms
• ✓General industry research and benchmark data

7. Confidentiality

Both parties agree to keep confidential all proprietary information disclosed during the engagement. SJ iTech will not share Client analytics, patient data, or business strategies with third parties without explicit consent.

8. Limitation of liability

SJ iTech will use commercially reasonable efforts to deliver the Services. However, we do not guarantee specific ranking positions, traffic volumes, or revenue outcomes, as these are influenced by factors outside our control (e.g., search engine algorithm changes, competitor actions, market conditions).

To the maximum extent permitted by law, SJ iTech's total liability for any claim arising from the Services will not exceed the total amount paid by the Client in the 3 months preceding the claim.

9. Governing law

These terms are governed by the laws of New South Wales, Australia. Any dispute arising from these terms will be subject to the exclusive jurisdiction of the courts of New South Wales.

10. Amendments

SJ iTech may update these terms from time to time. The latest version will be published on this page. Continued use of our Services after changes constitutes acceptance of the revised terms.
